
MARAT MUKHAMEDIYEV
Profile
Marat Mukhamediyev is a founding partner of IMN. He focuses his practice on mergers and acquisitions, capital markets, and finance transactions, with extensive experience across energy and natural resources. Marat has advised on some of the largest and most complex cross-border deals involving Kazakhstan, representing multinational corporations, international financial institutions, and leading domestic businesses. He also has experience in commercial litigation.
Marat also has extensive experience advising on matters under the Astana International Financial Centre (AIFC) framework. He played a key role in the landmark redomiciliation of one of the largest international retail groups to the AIFC, one of the most high-profile corporate moves to the jurisdiction to date, and regularly advises clients on AIFC corporate law, regulatory compliance, and capital markets transactions.
Before founding IMN, Marat worked with several leading international and domestic organizations, including Morgan Lewis, Ernst & Young (EY), and the Agency of the Republic of Kazakhstan for Regulation and Supervision of the Financial Market and Financial Organizations.

Capital markets
- • Secondary listing of public companies on Astana International Exchange (AIX)
- • Advised a HK-based company with subsoil use assets in Kazakhstan on its successful dual IPO at the Hong Kong Stock Exchange and AIX.
- • Assisted Kazakhstan's largest retail bank with a successful US$200 million Eurobond offering on the Irish Stock Exchange and the Kazakhstan Stock Exchange.
- • Represented a private Kazakhstan bank on its planned issuance of US$-denominated unsecured notes.
- • Advised a large Kazakhstan company on a proposed Hong Kong Stock Exchange IPO (suspended after A1 filing for commercial reasons).
Finance
- • Represented a major Kazakhstan cellular carrier in a US$300 million debt financing by a syndicate of foreign and domestic banks.
- • Acted for the EBRD on an up to US$140 million senior secured multicurrency loan to a large private Kazakhstan electric utility and its subsidiaries.
- • Assisted an international bank with EUR 7 million export financing.
- • Represented an international bank in a US$3 billion share acquisition and backstop facility with Kazakhstan guarantors.
Mergers & Acquisitions
- • Advised a Chinese private company on its US$350 million acquisition of a 100% stake in a Kazakhstan subsoil user developing multiple hydrocarbon fields in western Kazakhstan.
- • Represented a Chinese private company in a US$100 million acquisition of a 100% interest in a Kazakhstan subsoil user with an exploration hydrocarbon field in southern Kazakhstan.
- • Counsel to a major U.S. energy company on a joint venture with a Kazakhstan state-owned partner, including a landmark privatization transaction involving the acquisition of 50% in a Kazakhstan JV from the national railway company.
- • Acted for an Indian investor on the sale of a gold exploration and production asset in Kazakhstan through the Kazakhstan Stock Exchange.
- • Advised a Chinese private investor on its participation in a tungsten mining project in Kazakhstan.
- • Represented a major Scandinavian cellular carrier in the acquisition and later disposal of assets and equity in a Kazakhstan telecommunications company.
AIFC
- • Advised a major international listed company on its redomiciliation to the AIFC – one of the most high-profile corporate moves to the jurisdiction to date.
- • Represented multiple international and domestic clients on continuations, capital increases/reductions, share buybacks, and compliance matters under AIFC and AIX rules and regulations.
Litigation
- • Successfully represented a Kazakhstan subsidiary of a Chinese investor in tort dispute with local land users.
- • Successfully represented a large private Chinese company in a complex multi-jurisdictional dispute.
- • Acted for a Russian pharmaceutical company in a dispute regarding supply of pharmaceutical products to its Kazakhstan counterparty.
